1. This document is an electronic record under the provisions of the Information Technology Act, 2000 and Rules framed there under (as applicable or amended from time to time). This electronic record is generated by a computer system and does not require any physical or digital signatures.
2. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Digital Personal Data Protection Act, 2023 that require publishing the rules and regulations, privacy policy and User agreement for access or usages of the www.prolistindia.com website.
3. Prolist processes personal data in accordance with the provisions of the Digital Personal Data Protection Act, 2023, and the rules framed thereunder. Users shall have the rights of access, correction, updating, withdrawal of consent, and grievance redressal in relation to their personal data, as more particularly set out in Prolist’s Privacy Policy. Prolist acts as a ‘Data Fiduciary’ under the DPDP Act to the extent applicable.
4. The terms " Prolist ", used in this document refers to Prolist Pvt. Ltd., a company registered under the Companies Act, 2013 with its registered office at Aspire Coworks, No. 472/7 Balaji Arcade, 2nd & 3rd Floor, A.V.S. Compound, 20th L Cross Road, AVS Layout, Ejipura, Koramangala 4th Block, Bengaluru, Karnataka - 560095 along with its subsidiaries and/or employees and/or directors and/or representatives.
5. The term " Platform " used in this document refers to the website www.prolistindia.com, mobile apps and / or any other services offered / to be offered by Prolist.
6. These Terms and Conditions, together with the Privacy Policy, IPR Infringement Policy and any other terms specifically referred to in any of those documents, constitute a legally binding agreement (the "Agreement") between you and Prolist in relation to your use of the Platform.
7. All intellectual property which is in relation to this Platform is owned by and vests in Prolist.

 

TERMS OF USE

1. For the purpose of these terms and conditions, wherever the context so requires, "you" or "User" shall mean any natural or legal person who has agreed to use the Platform, whether registered or not, including Users whose accounts will expire and / or stand expired. The terms "we", "us", "our" shall mean the Platform.
2. PLEASE READ THE TERMS OF USE CAREFULLY BEFORE AVAILING SERVICES ON THIS PLATFORM. AVAILING SERVICES THROUGH THIS PLATFORM SIGNIFIES YOUR ACCEPTANCE OF THE TERMS OF USE AND YOUR AGREEMENT TO BE LEGALLY BOUND BY THE SAME.
3. IF YOU DO NOT AGREE WITH THE TERMS OF USE, PLEASE DO NOT ACCESS THIS PLATFORM FOR ANY SERVICES.
4. Acceptance of these terms is a prerequisite for usage of services in the platform. By virtue of using these services, it is deemed that you accept all and any of the terms and conditions specified in the Agreement. The Agreement constitutes the entire agreement between you and Prolist and governs your use of the Platform's Service, superseding any prior agreements between you and Prolist.
5. This Platform is entitled to assign this Agreement, and all rights and obligations hereunder, to a successor to all or any of its assets, whether by sale, merger or otherwise. These terms shall be binding upon and shall inure to the benefit of the parties hereto and their respective representatives, heirs, administrators, successors and permitted assigns except as otherwise provided herein.
6. This Platform reserves the right to update, change, modify, add or remove the terms, conditions and notices of the Agreement without any prior notice to you. It is your responsibility to periodically review the most current version of the Agreement as your continued use of this Platform signifies your acceptance of any changed terms. As long as you comply with these Terms & conditions, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.

 

SCOPE OF SERVICE

1. Prolist is an intermediary technology platform within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, that facilitates discovery, listing, and connection between users and independent service professionals.
2. This Platform provides itself as a service to enable its Users to connect with each other or to connect with businesses/professionals in their city. This Platform enables the Users to find Service Providers.

 

PROFESSIONAL SERVICES DISCLAIMER FOR REGULATED CATEGORIES

1. Prolist is a technology-enabled intermediary platform that facilitates discovery and connection between users and independent service professionals across various categories. Prolist does not itself provide, render, supervise, verify, or endorse any professional, medical, psychiatric, psychological, therapeutic, legal, financial, or other regulated services, advice, diagnosis, opinion, representation, or treatment.
2. It is expressly clarified that Prolist does not provide medical advice, psychiatric advice, psychological counselling, therapy, legal advice, legal representation, financial advice, or any other professional or regulated advisory service. Any information made available on the Platform, including profiles, descriptions, credentials, availability, reviews, ratings, or communications, is provided by the respective service professionals or users and is intended solely for general informational and discovery purposes.
3. Prolist is not an emergency service, crisis intervention platform, or substitute for immediate professional assistance. Users are expressly advised that in case of any medical emergency, mental health crisis, psychiatric emergency, legal emergency, threat to life or property, or any situation requiring urgent intervention, they must immediately contact local emergency services, hospitals, crisis helplines, law enforcement authorities, or appropriate emergency numbers, and must not rely on the Platform for such purposes.
4. All engagements, consultations, advice, treatment, representation, or services provided by professionals listed on the Platform are rendered independently by such professionals in their personal or professional capacity. The scope, quality, outcome, effectiveness, legality, and appropriateness of such services are matters solely between the user and the concerned service professional. Prolist does not guarantee, warrant, or assure any outcome, result, recovery, relief, legal success, therapeutic benefit, medical improvement, or financial result arising from any professional service accessed through the Platform.
5. Prolist does not verify the accuracy, completeness, legality, current validity, or professional standing of any qualifications, registrations, licences, certifications, claims, or experience stated by service professionals, except to the limited extent expressly stated on the Platform. Users are solely responsible for conducting their own due diligence, verification, and assessment before engaging any professional.
6. Any dispute, claim, grievance, loss, injury, damage, dissatisfaction, negligence, misconduct, deficiency, or liability arising out of or in connection with professional services availed through the Platform shall be resolved strictly between the user and the concerned service professional. Prolist shall not be responsible or liable, directly or indirectly, for any acts, omissions, advice, services, or outcomes arising from such professional engagements.
7. Nothing contained on the Platform shall be construed as creating any agency, partnership, employment, fiduciary, or supervisory relationship between Prolist and any service professional, nor as an endorsement of any professional’s services, advice, or qualifications.

 

PAID MEMBERSHIPS, CREDIT SYSTEM, PACKAGES AND LEAD ACCESS TERMS

1. Prolist offers certain optional paid products to registered service professionals, including structured membership plans and prepaid credit packages, for the limited and specific purpose of enabling enhanced access to platform features such as profile visibility, discoverability, and the ability to view or unlock customer enquiries submitted on the Platform.
2. It is expressly clarified and agreed that Prolist does not sell, allocate, assign, or guarantee customers, work orders, projects, contracts, revenue, or business opportunities, and that all paid offerings function solely as facilitative access mechanisms, the effectiveness and commercial outcome of which depend upon multiple independent and external factors beyond Prolist’s control.
3. Any purchase of a membership plan or credit package shall constitute an unequivocal acknowledgement by the service professional that Prolist is acting strictly as an intermediary technology platform and not as a service procurer, employer, agent, broker, guarantor, or partner, and that no fiduciary duty or outcome-based obligation arises by virtue of such purchase.
4. For avoidance of doubt, purchase of any membership plan, credit package, or bundled offering does not create any partnership, agency, employment, joint venture, or fiduciary relationship between Prolist and the service professional. Service professionals act independently and at their own discretion.
5. Prolist may offer different categories of paid plans, including credit-based plans, profile highlight or visibility-based plans, and bundled plans combining visibility benefits with a predefined allocation of credits. The commercial terms, pricing, duration, and benefits of each plan are displayed on the Platform at the time of purchase and form an integral part of these Terms. Membership plans differ in nature and scope, and no inference shall be drawn that purchase of any plan confers superior entitlement, priority, or assurance of leads, enquiries, or commercial success.
6. All membership prices, credit packs, package compositions, durations, and promotional benefits displayed on the Platform are dynamic and subject to revision, withdrawal, or replacement at Prolist’s sole discretion for business, technical, legal, or regulatory reasons. Any such changes shall apply prospectively and shall not affect completed membership periods or previously purchased credits. No service professional shall have any right to demand continuation of historical pricing, discounts, package structures, or parity with other users.
7. Memberships are available only to registered service professionals who have completed onboarding and verification requirements and who continue to meet Prolist’s eligibility and compliance standards. Prolist reserves the unrestricted right to delay activation, suspend benefits, or revoke memberships obtained through inaccurate, misleading, or incomplete information. Any delay or suspension pending verification shall not constitute deficiency of service.
8. Any attempt by a service professional to misuse membership benefits, manipulate profile visibility, artificially influence rankings, engage in fraudulent, misleading, abusive or deceptive conduct, or otherwise circumvent the Platform’s technical or business rules shall constitute a material breach of these Terms. Prolist reserves the absolute right to take corrective action including suspension, restriction, or termination of the membership and/or account without prior notice. Such action shall not give rise to any entitlement to refund, compensation, or damages.
9. Without prejudice to any other rights or remedies, Prolist may suspend or terminate a membership, with or without notice, if the service professional violates these Terms, platform policies, applicable laws, or if fraudulent, abusive, or misleading behaviour is detected. Suspension or termination of membership shall not automatically entitle the professional to any refund, credit adjustment, or compensation, irrespective of the remaining membership period.
10. Membership fees and credit purchase amounts paid on the Platform are non-refundable and non-adjustable, whether in whole or in part, except as expressly provided under Prolist’s Refund and Exceptional Refund Policy. Partial use, non-use, suspension, expiry, or termination of a membership or credits, whether voluntary or involuntary, shall not give rise to any refund, credit reinstatement, extension, or compensation of any nature.
11. Memberships are valid strictly for the duration selected at the time of purchase. Upon expiry, all membership-specific benefits, including profile highlighting or enhanced visibility, shall automatically cease without notice, and the account shall revert to default platform parameters. Renewal of membership is the sole responsibility of the service professional and is not guaranteed on identical commercial or feature terms.
12. Memberships and credits are strictly non-transferable, non-assignable, and usable only by the registered account and legal entity that purchased them. Any attempt to share, resell, sublicense, manipulate, or misuse membership benefits or credits, including attempts to artificially influence rankings, visibility, or lead allocation mechanisms, shall constitute a material breach of these Terms and may result in immediate suspension or termination of the account without refund or compensation.
13. All memberships offered on the Platform are governed by and subject to these Terms of Use, the Privacy Policy, applicable Credit Purchase Terms (where relevant), and the laws of India. In the event of any inconsistency, the membership-specific terms shall be read harmoniously with the overall Terms of Use, and no interpretation shall be adopted that defeats the intermediary or facilitative nature of Prolist’s role.
14. Prolist reserves the right to modify, upgrade, downgrade, suspend, or discontinue any membership feature, package composition, credit structure, visibility logic, or benefit framework at any time for platform optimisation, technical upgrades, regulatory compliance, or business restructuring. Such modifications shall not be deemed a failure or deficiency of service.
15. Credits offered on the Platform are prepaid, non-monetary access units used exclusively to unlock lead information or access credit-based features as determined by Prolist from time to time. Credits do not constitute currency, legal tender, stored value, securities, or property, and do not carry any proprietary or ownership interest. Credits cannot be exchanged for cash, transferred, assigned, or redeemed outside the Platform under any circumstances.
16. Credit purchases on the Platform constitute a taxable supply of services under applicable Goods and Services Tax laws. All prices displayed on the Platform are exclusive of GST unless expressly stated otherwise, and GST shall be charged at the rate applicable at the time of purchase and reflected in the tax invoice issued by Prolist. Service professionals are solely responsible for ensuring the accuracy and completeness of their GST details, and Prolist shall not be liable for denial of input tax credit or any tax consequence arising from incorrect or incomplete information provided by the professional.
17. Where applicable under Indian income-tax laws, Tax Deducted at Source may be deducted by the service professional at the prescribed rate while making payment to Prolist. In such cases, the service professional shall be solely responsible for timely remittance of the deducted tax to the appropriate authority and for providing Prolist with the corresponding TDS certificate, including Form 16A or other prescribed documentation, within statutory timelines. Failure to submit valid TDS documentation may result in temporary restriction on invoice issuance, credit utilisation, account features, or suspension of services until compliance is completed. Prolist shall not be responsible for any penalties, interest, or consequences arising from incorrect, incomplete, or delayed TDS compliance by the service professional.
18. Credits are deducted at the point of unlocking a lead or accessing a credit-based feature as displayed on the Platform at that time. Once credits are deducted, the transaction shall be deemed final and complete, and no reversal or refund shall be permitted on the grounds of non-response, non-selection, customer disengagement, pricing disagreement, or failure to convert a lead into work.
19. Credits may carry a validity period as communicated at the time of purchase or through platform notifications. Upon expiry, unused credits shall automatically lapse and shall not be reinstated or refunded. Prolist reserves the right to adjust, suspend, or forfeit credit balances in cases of fraud, abuse, chargebacks, technical misuse, or policy violations.
20. Prolist facilitates access to customer enquiries submitted voluntarily by users of the Platform. Prolist does not independently verify, endorse, or guarantee the accuracy, completeness, seriousness, budget, availability, intent, or suitability of any lead. All leads are provided strictly on an “as-is” and “as-available” basis and may be shared with multiple service professionals unless expressly stated otherwise.
21. Access to leads, whether through credits, memberships, or bundled packages, does not guarantee receipt of any minimum number of leads, customer contact, conversion into work, payment, or successful completion of any engagement. All commercial decisions, negotiations, performance, disputes, and outcomes remain solely between the service professional and the customer.
22. Nothing on the Platform, including membership plans, package pricing, credit valuation, or promotional material, shall be construed as a representation, warranty, or assurance of earnings, business volume, profitability, or commercial success.

 

Refund and Exceptional Refund Policy 

Prolist offers paid memberships and credit packages on a non-refundable basis, as they provide immediate access to platform features (enhanced visibility, lead unlocking, etc.). However, to support fair usage, the following limited exceptions apply:

 

1. Full Refund Window (15 Calendar Days)

   - If you purchased a membership or credit pack and have not unlocked any leads or used any credits, you may request a full refund within 15 days of purchase.  

   - Request via email to support@prolistindia.com with order ID. Processed within 10 business days (minus payment gateway charges).

2. Technical / Platform Error Refunds

   - If credits were deducted due to a proven technical glitch (e.g., lead not delivered after unlock), we will reinstate credits or refund the equivalent amount.  

   - Must report within 48 hours with screenshot evidence.

3. No Refunds For

   - Leads that were unlocked but resulted in no response, no deal, low quality, or customer non-seriousness.  

   - Partial use of membership/credits.  

   - Expiry of unused credits.  

   - Voluntary cancellation OR Account Deactivation after the 15-days window.  

   - Any purchase made during promotional / discounted periods (unless explicitly stated).

 

4. Graceful Exit Clause (if we ever discontinue a plan)

In the unlikely event Prolist discontinues a membership type or exits a market, unused credits/membership period will be prorated and refunded or transferred to equivalent value.

 

SUMMARY OF MEMBERSHIP PLANS AND PACKAGES (INDICATIVE AND NON-BINDING)

The following tables are provided solely for ease of reference and general understanding of the membership plans, credit packages, and bundled offerings that may be made available on the Platform from time to time. The details set out below, including pricing, credits, duration, and features, are indicative in nature and subject to change at Prolist’s discretion. The tables do not constitute an offer, promise, warranty, or guarantee of availability, pricing, benefits, lead volume, lead quality, visibility, or commercial outcomes. All memberships, credits, and related services shall be governed exclusively by the detailed terms and conditions set out in this Agreement, and in the event of any inconsistency or conflict, the detailed contractual terms shall prevail.

 

Pro-Plus Plan (Credit-Based Lead Access)

• The Pro-Plus Plan is a credit-based offering designed for service professionals who primarily seek to unlock and access customer leads at discounted per-credit rates. This plan does not include any profile highlighting or visibility enhancement benefits. Credits purchased under this plan may be used in accordance with Prolist’s credit usage rules and are subject to validity, expiry, and category-based credit deduction logic.

• The Pro-Advance Plan is a visibility-focused membership intended to improve profile prominence and discoverability on the Prolist platform. This plan does not include any credits and does not provide direct access to leads unless credits are purchased separately. Visibility benefits operate subject to Prolist’s internal algorithms and platform logic.

• The Pro-Elite Plan is a bundled, premium offering designed for high-volume professionals and businesses actively acquiring leads throughout the year. This plan combines long-term profile highlighting with a predefined allocation of credits and is offered for a single, composite price.

MEMBERSHIP ELIGIBILITY (USER & SERVICE PROVIDER)

1. You confirm that you are of legal age i.e. 18 years to form a legally binding contract with Prolist and are not a person barred, from availing the services offered by Prolist under the laws as applicable in India.
2. Prolist requires registration for those who participate in its services. When you authenticate your email or mobile number for using the local service need platform and register as a member on this Platform, you accept the following terms and conditions:
3. You agree to provide true, accurate, current and complete information.
4. If, after investigation, Prolist has reasonable grounds to suspect that any member's information is untrue, inaccurate, not current or incomplete, Prolist may suspend or terminate that member's account and prohibit any and all current or future use of the Prolist sites (or any portion thereof) by that member other than as expressly provided herein.
5. Each member is wholly responsible for maintaining the confidentiality of account login and password information and for all activities occurring there under. Prolist cannot and will not be liable for any loss or damage arising from a member's failure to comply with this section, including any loss or damage arising from any member's failure to: (1) immediately notify Prolist of any unauthorised use of his or her password or account or any other breach of security; and (2) ensure that he or she exits from his or her account at the end of each session.
6. You hereby unconditionally authorize / approve Prolist to reserve the right to publish any and all information provided as part of this Platform registration, except email address and password to authenticate the member, to facilitate social networking among its members.

 

Registration

1. Your registration as a member of this Platform or the use of any of the features and services on this Platform either as a registered member or as an unregistered visitor constitutes acceptance of these Terms and Conditions and the Privacy Policy defined herein. These terms and conditions apply automatically to any new services and / or features introduced on this Platform.
2. In order to become a Prolist member, you must first create a member account on this Platform by providing information about yourself including name, email or mobile number and your current city of residence. Prolist may check for the validity of the email addresses or mobile numbers. You should ensure that you do not in any manner provide false and / or inconsistent and / or untrue information.
3. Once you provide the basic information to create an account, you will have the opportunity to provide additional information in the profile section describing your postal code, brief summary of yourself etc. Provision of this additional information beyond what is required at registration is entirely optional.
4. For this Platform to recognise you as a registered member, you must login with your login email and password or alternatively use Prolist services with your registered email or mobile number. At the time of login, you will have the option to instruct the site to remember you so when you come back the next time to use this Platform, you would not have to login with your email and password.
5. Should you chose the Platform to remember you; you accept that cookies shall be placed onto your server computers / device.

 

PASSWORD

You are advised to change your login password at regular intervals. Your password should be a combination of alphabets and at least one number and a special character. You are solely responsible for actions taken under your password, and should not disclose it to anyone else. You cannot use your password for any unauthorised purpose. Prolist shall neither be responsible nor liable for your non-compliance with the terms of password change.

 

ACCESSING AND CHANGING YOUR ACCOUNT INFORMATION

You can review the personal information you provided us and make any desired changes to the information, or to the settings for your account on this Platform, at any time by logging in to your account and editing the information on your profile page. You can also close your account through this Platform by sending your request to support@prolistindia.com with your login details. Your request will be processed within 7 business days.

 

COMMUNICATIONS

1. Your calls may be recorded to improve the service experience in the platform and for other business purposes. You hereby unconditionally authorize and / or approve Prolist to record the calls made by you to Prolist with respect to any services listed on this Platform. Prolist at its discretion may delete such recording shall from its database within a period of twelve (12) months.
2. Further, by using Prolist services and providing us your number, while registering for an account or receiving alerts or contacting an advertiser seller / buyer, you:
3. Agree to receive a sales or service call from our employees / partner / alliances notwithstanding your registration for NDNC (National Do Not Call) registry.
4. Give consent to Prolist to send alerts, contact details, SMS and calls related to User's action in our Platform to the mobile number entered by the User, irrespective of whether the same is on the NDNC list or any other such data base.
5. In case the User does not want to receive these messages on his / her mobile number, he / she shall not submit his / her mobile number with this Platform.

 

USING PROLIST'S PLATFORM

1. Users of this service are responsible for all aspects of the transactions in which they choose to participate. This Platform requires a User to register before posting a service need requirement or uploading a variety of Content on the Platform. This Platform does not review or authenticate all listings, items, or services offered for sale. This Platform has no control over the quality, safety or legality of the items advertised the truth or accuracy of the listings, the ability of Service Providers to sell items or the ability of Users to buy items. Therefore, Users of this service should be aware that:
2. Service Providers and Users are completely responsible for working out the exchange and performance of services. Prolist is not responsible for any non-performance or breach of any contract entered into between the Users and Service Providers. Prolist cannot and does not guarantee that the concerned Service Provider will perform any transaction concluded on this Platform.
3. Both User and Service Provider do hereby agree that Prolist shall not be required to mediate or resolve any dispute or disagreement that might arise between the parties out of these transactions.
4. Service Providers and Users are responsible for researching and complying with any applicable laws, regulations or restrictions on items, services, or manner of sale or exchange that may pertain to transactions in which they participate.
5. Service Providers and Users are responsible for all applicable taxes and for all costs incurred by participating in the local service need fulfilment platform.
6. Prolist will not be liable for damages of any kind incurred to any parties as a result of the information contained on this Platform. Users shall not use or manipulate this service for any fraudulent activity or purpose. Items or services offered for sale must comply with applicable laws. Prolist disclaims any and / or all responsibility and / or liability for any harm resulting from your use of third party services, and you hereby irrevocably waive any claim against Prolist with respect to the Content or operation of any third party services.
7. Using our Services does not give you ownership of any intellectual property rights in our Services or the Content you access. These terms do not grant you the right to use any branding or logos used in our Services.
8. You agree to comply with the Terms of Use and acknowledge that Prolist reserves the right to terminate your account or take such other action ( including legal remedies) as deemed fit if you commit breach of any Terms of Use.
9. User agrees that he / she / they, indemnify Prolist, its employees, officers, agents and directors from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with transactions or disputes.
10. We do not control the information provided by other Users that is made available through our system. Users may find other User's information to be offensive, harmful, inaccurate, or deceptive. Please use caution and common sense for your own safety. Please note that there are also risks of dealing with underage persons or people acting under false pretence. Additionally, there may also be risks dealing with international trade and foreign nationals.
11. It is confirmed and acknowledged by the User that, all/any information provided by the User, including name, age, contact details and other details to this Platform are accurate and can be used and forwarded by this Platform to Service Provider(s). Any such act, committed by Prolist shall not constitute a violation of privacy or other rights of the User.
12. At no time shall this Platform have any obligations or liabilities in respect of all/any transaction entered into between the User and Service Provider. Prolist is not responsible for unsatisfactory or delayed performance of services or damages, if any incurred during service.
13. Prolist does not make any kind of warranties or representation on delivery, service, quality, suitability and availability of services on this Platform.
14. Prolist shall not be responsible for any loss or damage whatsoever that may be suffered or any personal injury that may be suffered to a User, directly or indirectly by use or non-use of services mentioned on this Platform.
15. Prices mentioned (if any) on this Platform are subject to change. Users are advised to check with Service Provider for the final price and additional charges applicable, if any. Users does hereby agree to absolve Prolist from all/any dispute in relation to price of services.
16. You hereby approve and / or authorise Prolist to take such measures as are necessary for security purposes and / or improving the quality of services and / or to enhance and provide better Service Provider services to the satisfaction of the User. The User hereby disclaims his right to prevent and/ or proceed against Prolist in relation to the same.

 

REVIEWS, RATINGS AND USER FEEDBACK

1. The Platform may allow Users and service professionals to post reviews, ratings, comments, feedback, or other evaluative content in relation to services, service professionals, or user experiences. Such reviews, ratings, and feedback are generated solely by Users based on their individual opinions and experiences and do not represent the views, endorsements, opinions, or representations of Prolist in any manner whatsoever.
2. Prolist does not independently verify the accuracy, truthfulness, completeness, or fairness of any review, rating, or feedback posted on the Platform and makes no representation or warranty in relation thereto. All reviews and ratings are displayed on an “as-is” and “as-available” basis, and Users are advised to exercise independent judgment and due diligence before relying upon the same.
3. Prolist reserves the absolute right, but not the obligation, to monitor, moderate, edit, restrict, disable access to, or remove any review, rating, or feedback, in whole or in part, at its sole discretion, without prior notice, where such content is found to be abusive, defamatory, misleading, fraudulent, obscene, offensive, unlawful, violative of applicable law, violative of these Terms, or otherwise detrimental to the interests of the Platform, its Users, or service professionals. The exercise or non-exercise of such moderation rights shall not give rise to any liability on the part of Prolist.
4. By submitting any review, rating, comment, or feedback on the Platform, the User hereby grants Prolist a perpetual, irrevocable, worldwide, royalty-free, non-exclusive licence to use, host, store, reproduce, display, publish, adapt, modify, translate, distribute, and otherwise exploit such content, in whole or in part, for platform operations, analytics, service improvement, marketing, promotional, research, and business purposes, across all present and future media, without any compensation or further consent.
5. The User represents and warrants that any review, rating, or feedback submitted by them is based on their genuine experience, does not infringe the rights of any third party, and does not contain false, misleading, defamatory, or unlawful statements. The User agrees to indemnify and hold harmless Prolist against any claims, damages, losses, or liabilities arising out of or in connection with any review, rating, or feedback submitted by them.
6. Prolist shall not be liable for any loss, damage, reputational harm, or dispute arising from reviews, ratings, or feedback posted by Users, and any disputes relating to the veracity or impact of such content shall be resolved directly between the concerned parties without involving Prolist.
7. Prolist does not undertake any obligation to pre-screen, monitor, or proactively review user-generated reviews, ratings, or feedback. Any moderation undertaken by Prolist is voluntary and shall not be construed as assumption of editorial control or liability under applicable law.

 

FAILURE OR DELAY IN SERVICES BY THE SERVICE PROVIDER

Prolist (including its and their directors, employees, affiliates, agents, representatives or subcontractors) shall not be liable for any loss or liability resulting, directly or indirectly, from delays or interruptions due to electronic or mechanical equipment failures, telephone interconnect problems, defects, weather, strikes, walkouts, fire, acts of God, riots, armed conflicts, acts of war, or other like causes. Prolist shall have no responsibility to provide you access to this Platform while interruption of this Platform is due to any such cause shall continue.

 

INDEMNIFICATION

You hereby agree to indemnify, defend and hold harmless Prolist, its owner, licensee, subsidiaries, successors, assigns and their respective office affiliates, agents, directors, officers, employees and shareholders from and against any and all claims, obligations, damages, losses, expenses, and costs, including reasonable attorneys' fees, resulting from:

5. If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Prolist and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys' fees.
6. Notwithstanding anything contrary contained elsewhere under this Terms of Use and without prejudice to other legal remedies available, Prolist shall be entitled to claim appropriate sum towards damages and compensation from you and other responsible parties in case loss of profit due to Fraud.

 

SEVERABILITY

Should one or more provisions of these Terms of Use be found to be unlawful, void or unenforceable, such provision(s) shall be deemed severable and will not affect the validity and/or enforceability of the remaining provisions of the Terms of Use, which will remain in full force and effect.

 

DISCLAIMER OF WARRANTIES

1. Your use of this Platform is at your own risk. This Platform is provided by Prolist, on an "as is" and "as available" basis. To the full extent permissible by applicable law, Platform disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement.
2. You acknowledge that any warranty that is provided in connection with any of the products or services made available on or through this Platform is provided solely by the owner, advertiser or manufacturer of that product and / or service and not by Prolist.
3. This Platform, makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, Content, materials, or products on the Platform, including that:

LIMITATION OF LIABILITY

1. In no event shall Prolist, be liable for any direct, indirect, incidental, special, punitive, consequential damages, or any damages whatsoever, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from:

3. The cost of procurement of substitute goods and services resulting from transactions entered into through or from this Platform;

TERMINATION

Prolist, reserves the right to discontinue in whole or in part any portion of this Platform services or programs with or without notice. All rights to the Platform material not expressly granted herein are reserved.

 

OTHERS INFORMATION

You agree not to make use of anyone else's information concerning this Platform's market places other than as necessary to participate on this Platform and to complete any transactions in which you are involved.

 

OWNERSHIP OF DATA

When participating in any of this Platform's service, you may provide us with information about yourself and / or products and services listed. Users retain ownership of their personal data. By using the Platform, Users grant Prolist a limited, non-exclusive, royalty-free licence to process, store, use, display, and share such data solely for the purposes of operating, improving, securing, and providing the Platform services, in accordance with the Privacy Policy and applicable law.

 

RELATIONSHIP

There is no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between Prolist and any User / Service Provider of the Platform.

 

FALSE INFORMATION

If at any point of time Prolist finds that the information provided by you in your registration or web mail is false, Prolist reserves the right to terminate your account.

 

APPLICABLE LAW AND DISPUTE RESOLUTION

1. If any dispute, controversy or claim arises out of, or in relation to, or in connection with this Agreement or its termination or validity, the parties shall attempt to mutually resolve the same through mediation.
2. However, if the parties fail to resolve the above dispute within a period of 30 days, the same shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
3. The arbitration shall be conducted by a sole arbitrator, appointed by Prolist. The place of arbitration shall be in Bengaluru, Karnataka and it shall be conducted in English.
4. The award of the arbitrator shall be final, conclusive and binding upon the parties
5. The courts in Bengaluru, Karnataka shall have exclusive jurisdiction in relation to any dispute arising between the User and the Service Provider with Prolist.
6. The User and Service Provider agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of this Platform or these Terms and Conditions must be filed within one (1) year. Any claim or cause of action which may arise or is filed after a period of one year from the date of transaction shall not be entertained and shall be barred.
